Read this first — the full agreement below controls.
- This is a paid pilot for evaluation only: $995 flat covering up to 10 briefings within 30 days ($99 per briefing plus a single $5 administrative fee). Payment is due at activation; unused briefings are non-refundable.
- Each briefing includes one complimentary bring-down search, redeemable within 60 days of the original delivery date. A bring-down does not earn a further bring-down: any later re-run of the same property is a new search. Platform access remains active strictly for bring-downs even after the 30-day pilot expires.
- After the pilot, standard pricing is $295 residential / $595 commercial per briefing. Prepaid packs and partnership terms may be offered by separate written agreement; completing the pilot does not by itself entitle Client to discounted pricing.
- ClearTitle AI™ is software that assists licensed title examiners — not a law firm, title company, abstractor, escrow agent, or insurer. No legal advice, title opinions, underwriting decisions, or title insurance.
- Every briefing is generated by AI from DC public records. That means it may contain errors, gaps, or misclassifications. Your licensed examiner reviews, verifies, and certifies every file. The examiner remains the professional of record at every decision point.
- Outputs are preliminary analyses. You must independently verify all findings before any closing, underwriting, or third-party reliance.
- Use is internal evaluation only — do not share externally or represent outputs as certified, insured, or legally authoritative.
- Your recorder access credentials (the DC Recorder of Deeds and, for Maryland searches, Maryland Land Records (MDLandRec)) are used only for the report you run. While that report is prepared they are kept only in encrypted form, tied to that report, and deleted when it is ready, fails or is cancelled, and in any case within six hours; Provider never stores portal passwords in readable form or keeps them beyond that report.
- Reasoning logs, intermediate processing artifacts, and chat interactions are retained for auditability, system performance, and evaluation under strict confidentiality—never sold or shared with third parties.
- Don't reverse engineer the system or use outputs to train, test, or benchmark competing tools.
- Provider's liability per briefing is capped at the fee paid for that briefing or $500, whichever is greater. Total aggregate liability is capped at all fees paid under this Agreement. Briefings are delivered solely for Client's benefit and are non-transferable.
- Disputes resolved by binding arbitration in Delaware or remotely by videoconference at either Party's election (small claims excepted).
This summary does not replace the full Agreement below, which governs in all cases.
Purpose & Nature of Pilot
This Pilot User Agreement ("Agreement") governs access to and use of the ClearTitle AI™ platform and related outputs during a limited pilot program ("Pilot"). By clicking "I Agree," accessing, or using the Software, the user or entity ("Client") agrees to be legally bound by this Agreement.
The purpose of this Agreement is to permit Client to conduct a limited, paid, non-production evaluation of Provider's proprietary title intelligence platform, analytics, and generated outputs (collectively, the "Software") as part of an early-stage pilot program.
The Pilot is evaluative. The Software and all outputs ("Outputs") are AI-assisted and informational only, and are not intended for operational use, underwriting, title insurance issuance, legal reliance, or decision-making in connection with any real estate transaction without independent professional verification.
ClearTitle AI LLC is an independent software provider organized under the laws of the State of Delaware, operating at cleartitleai.com. Provider maintains technology errors and omissions (professional liability) insurance. A certificate of insurance is available to Client upon written request. Provider's insurance is not title insurance, does not insure any property, title or transaction, and does not change the limitations of liability in Section 11.
AI Disclosure & Examiner Authority
Client acknowledges and agrees that:
- AI-generated output. Every briefing is produced by a multi-stage AI pipeline that retrieves instruments from official DC public records sources, applies approximately 45 analytical signals, and generates structured prose. The pipeline includes a mandatory private reasoning stage before output generation. Outputs are not produced by a licensed title examiner, attorney, or abstractor.
- Source data only. The pipeline draws exclusively from DC Recorder of Deeds (ROD), DC Office of Tax and Revenue (OTR), and DC Master Address Repository (MAR) — all official DC government systems. No third-party data aggregators are used.
- Examiner in the loop by design. The briefing is the examiner's working foundation — not a title commitment or underwriting conclusion. The licensed examiner's judgment is active at every decision point: reviewing chain sequencing, evaluating flagged risks, and assessing cure adequacy. The examiner is the professional of record and does not merely ratify machine output.
- Known limitations. Current search scope is the DC Recorder of Deeds recorded chain. Court records (DC Superior Court judgments, federal court liens) are not searched unless surfaced in ROD filings. Non-fixture UCC filings at DC DCRA are outside scope. A bring-down search within 10 days of scheduled closing is required for commitment-grade reliance.
- Audit trail. Pipeline reasoning logs, intermediate artifacts, and chat interactions are retained in secure storage for auditability, error analysis, and system evaluation. These are not disclosed to third parties.
Pilot Scope & Bring-Down Searches
- Provider shall process up to ten (10) District of Columbia SSL-based property intelligence requests submitted by Client within the Pilot term.
- Provider shall deliver structured preliminary title intelligence briefings in HTML format ("Outputs"), each covering chain of title reconstruction, lien analysis, risk findings, cure roadmap, and instrument abstract, all cited to recorded DC ROD instruments.
- Typical turnaround is 5–10 minutes for residential files and under 15 minutes for commercial files with 50+ instruments. Turnaround times are commercially reasonable but not guaranteed.
- Each Output includes one (1) complimentary bring-down search, redeemable within sixty (60) days of the delivery date of that specific Output, at no additional charge. A bring-down is itself not entitled to a further bring-down. Any additional search of the same property is a new search and is counted and priced as a new Output. Bring-downs are non-transferable and expire if unused within that bring-down window. Client's platform access shall remain active solely for the purpose of executing these bring-down searches, even if the core 30-day Pilot term has concluded.
- Client may submit both residential and commercial DC SSL properties during the Pilot term.
- Provider may update, modify, suspend, or replace any portion of the Software at any time during the Pilot.
Recorder Access (DC Recorder of Deeds & MDLandRec) & Ephemeral Credentials
Client must maintain an active, paid account with DC's Recorder of Deeds public records system and, for Maryland searches, an active registered account with Maryland Land Records (MDLandRec) to enable automated retrieval of property instrument data. To execute search requests, Client provides their Recorder access credentials at runtime via an ephemeral, session-based interface.
Credentials are used solely to perform the recorder searches of the report Client runs. While that report is prepared, Provider keeps them only as a ciphertext encrypted with a key-management service and bound to that report, which cannot be decrypted for any other report and expires within six hours. Provider deletes it when the report is ready, fails or is cancelled. Provider does not store Client's Recorder credentials in readable form, and does not keep them in any database or file system beyond that report. Client's ClearTitle AI account password is stored using one-way cryptographic hashing (bcrypt or equivalent) and is never accessible in plain text.
ClearTitle AI™ does not independently license, resell, or cache DC Recorder or MDLandRec data. Client is solely responsible for maintaining a valid account with each recorder system it uses and for compliance with that system's terms of use.
Provider shall not be liable for errors, gaps, or omissions arising from: (a) DC ROD indexing errors or mis-recordings by the District of Columbia; (b) instruments affecting the property that are not indexed to the subject SSL in DC ROD records as of the examination date; or (c) matters outside the DC ROD recorded chain, including court judgments, federal liens, UCC filings, or environmental encumbrances not appearing in DC ROD records. These limitations are disclosed in each Output and are expressly outside the scope of Provider's representations.
Fees & Term
- Flat Fee. Client shall pay $995 in full prior to platform activation, covering up to ten (10) Outputs within the 30-day Pilot term, made up of $99 per Output plus a single $5 administrative fee. The $995 fee is non-refundable once access is activated.
- Term. The core Pilot shall continue for thirty (30) days from acceptance or until delivery of ten (10) Outputs, whichever occurs first. The 30-day clock is tolled during any extended platform outage caused by events within Provider's reasonable control that prevents Output delivery for more than 48 consecutive hours; Provider will notify Client promptly of any such tolling event. Platform access continues after 30 days strictly for bring-down redemption under Section 3.
- Unused Credits. Unused briefing credits do not roll over beyond the 30-day term and are non-refundable.
- Client Discontinuation. Client may discontinue use of the Software at any time by written notice to Provider. Unused briefings remain non-refundable. Termination by Client does not affect any obligations accrued prior to the date of notice.
- Provider Termination. Provider may terminate or suspend access immediately for misuse or material breach of this Agreement. No refunds shall be owed for Outputs already delivered. If Provider terminates for reasons other than Client's breach, Provider shall refund the pro-rata fee for undelivered Outputs.
- Post-Pilot Pricing. After the pilot, Provider's standard pricing applies: $295 per residential briefing / $595 per commercial briefing. Provider may, in its sole discretion, offer prepaid pack pricing or partnership pricing (including any rate lock) by separate written agreement signed by Provider. Completing the pilot, or submitting feedback under Section 6, does not by itself entitle Client to any discounted or locked pricing.
Client Responsibilities & Feedback Obligation
Client agrees that it shall:
- Provide accurate, lawful, and complete DC Square & Lot identifiers and related information.
- Submit brief, structured feedback (estimated under 2 minutes per file) following the delivery of each briefing, evaluating time saved, finding accuracy, and report utility. Provider uses this feedback to improve the Software and to inform the volume and partnership terms it offers.
- Ensure that each Output is reviewed by a licensed title examiner before any professional determination, certification, or third-party disclosure.
- Use the Software and Outputs solely for internal evaluation purposes during the Pilot term.
- Not rely on the Software or Outputs for real estate closings, title insurance issuance, underwriting, lending decisions, regulatory filings, or legal opinions or advice, except as reviewed and certified by a licensed professional.
- Not represent the Software or Outputs as certified, final, insured, or legally authoritative without independent examiner verification.
- Not reverse engineer, decompile, scrape, extract, analyze, or attempt to infer Provider's system architecture, prompts, models, heuristics, or workflows.
- Not use the Software or Outputs to build, train, benchmark, validate, or enhance any competing product, service, dataset, or AI system.
- Not present ClearTitle AI™ or its Outputs as acting on Client's behalf in a fiduciary, agency, or advisory capacity, nor imply any such relationship with Provider.
Intellectual Property & Ownership
All right, title, and interest in and to the Software, Outputs, underlying logic, prompts, workflows, scoring models, risk frameworks, chain narrative architecture, visualizations, and derivative works are and shall remain the exclusive property of Provider. CLEARTITLE AI™ is a trademark of ClearTitle AI LLC, with registration pending before the United States Patent and Trademark Office (Serial No. 99561724).
Client is granted a revocable, non-exclusive, non-transferable, non-sublicensable license to access and review Outputs solely for Pilot evaluation. Client may not copy, distribute, publish, sublicense, commercialize, or externally share Outputs or excerpts (including screenshots) without Provider's prior written consent. Client shall not use Outputs to train, test, benchmark, or validate AI models, analytics systems, or datasets.
Source instruments referenced and linked in Outputs are public records of the District of Columbia. Provider claims no ownership over underlying recorded instruments.
Confidentiality
"Confidential Information" includes non-public information relating to the Software, system design, prompts, heuristics, business strategy, pricing, and Client interactions or chat queries submitted to the platform. Each Party shall protect the other Party's Confidential Information using reasonable care and use it solely for purposes of this Agreement.
Client Data (including DC Square & Lot identifiers and user chat queries submitted during the Pilot) shall be treated as confidential and used solely for output generation, auditability, system evaluation, security, and product improvement. Client Data is never sold, leased, or disclosed to third parties.
Disclaimers; No Warranties
Without limiting the foregoing:
- The Software may contain errors, omissions, inaccuracies, or incomplete analysis arising from AI limitations, source data gaps, or indexing errors in DC public records.
- Provider does not provide legal advice, title opinions, underwriting determinations, abstractor services, escrow or settlement services, or title insurance.
- Provider is not a title company, title abstractor, escrow agent, settlement agent, or insurer, and does not perform regulated title services under DC law.
- Provider disclaims all warranties, express or implied, including accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement.
- Outputs are preliminary and non-binding and must be independently reviewed and verified by licensed professionals before any reliance, operational use, or third-party disclosure.
- Client assumes all risk arising from use of the Software and Outputs without independent examiner verification.
No Agency, No Fiduciary Relationship
Nothing in this Agreement shall be deemed to create any partnership, joint venture, fiduciary, agency, or representative relationship between Provider and Client. Provider acts solely as an independent software provider and does not act on Client's behalf. ClearTitle AI™ briefings do not constitute an abstractor's certificate, examiner's opinion, or title commitment under DC law or any applicable underwriting standard.
Limitation of Liability
To the maximum extent permitted by law:
- Per-Briefing Cap. Provider's liability for any claim arising from or relating to any individual Output is limited to the greater of (a) the fee paid for that specific Output or (b) $500, whichever is greater. This cap applies per-briefing and is not aggregated across multiple Outputs for a single claim.
- Aggregate Cap. Provider's total cumulative liability arising out of or relating to this Agreement shall not exceed the total fees actually paid by Client during the Pilot term.
- Sole Beneficiary; Non-Transferability. Each Output is issued solely for the benefit of the Client signing this Agreement. No Output may be relied upon by, transferred to, or assigned to any third party without Provider's prior written consent. Provider assumes no liability to any party other than the signing Client, and any unauthorized transfer or reliance by a third party is solely at that third party's risk.
- No Liability for Public Record Errors. Provider shall not be liable for errors, omissions, or misclassifications arising from: (a) indexing errors or mis-recordings by the DC Recorder of Deeds or any DC government agency; (b) instruments affecting the property that are not indexed to the subject SSL in DC ROD records as of the examination date; or (c) matters outside the DC ROD recorded chain, including court judgments, federal liens, UCC filings, or environmental encumbrances not appearing in DC ROD records.
- No Professional Liability for Unverified Use. Provider shall have no liability for errors, omissions, misclassification, or analytical conclusions in Outputs that are used, acted upon, or disclosed without independent review and verification by a licensed title examiner.
- Excluded Damages. Provider shall not be liable for indirect, incidental, consequential, exemplary, reliance-based, or special damages, including lost profits, failed closings, title defects, underwriting denials, or insurance outcomes, even if Provider has been advised of the possibility of such damages.
Indemnification
Client Indemnification. Client agrees to indemnify and hold harmless Provider from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Client's misuse of the Software or Outputs; (b) violation of this Agreement; (c) unauthorized or unverified reliance on Outputs in connection with any real estate transaction, closing, or underwriting decision; or (d) unauthorized disclosure of Outputs to third parties.
Provider IP Indemnification. Provider agrees to defend and hold harmless Client against third-party claims alleging that Client's authorized use of the Software infringes any third-party patent, copyright, or trademark, provided Client gives prompt written notice, sole control of defense, and reasonable assistance to Provider. Provider's total liability under this clause is subject to the aggregate liability cap in Section 11.
Feedback & Data Use
Provider collects and analyzes usage data, pipeline reasoning logs, intermediate extraction artifacts, and user-submitted chat queries to deliver the Software, maintain system auditability, and evaluate AI accuracy and performance.
Client grants Provider a perpetual, royalty-free, non-exclusive license to use feedback, chat interactions, and system usage logs for product evaluation, system accuracy validation, and performance benchmarking. All such data shall be handled in strict accordance with Section 8 (Confidentiality) and shall not be sold, leased, or disclosed to third parties.
No Obligation for Future Services
Participation in the Pilot does not obligate either Party to enter into any future commercial relationship. Any production deployment shall require a separate written agreement. Post-pilot general availability pricing is available upon request.
Pilot participants receive direct access to the founder for feedback on roadmap priorities and GA pricing structure, including at least one structured feedback session before GA launch. This commitment is reasonable-efforts only and does not create a binding obligation to implement any specific feature or pricing requested by Client.
Governing Law
This Agreement shall be governed by the laws of the State of Delaware, without regard to conflicts-of-law principles.
Amendments
This Agreement may not be modified except by a written amendment signed by authorized representatives of both Parties, or by Client's acceptance of a superseding version of this Agreement presented through the Software. Provider will provide at least seven (7) days' written notice before presenting any materially revised agreement for acceptance. No amendment shall be implied from continued use of the Software alone.
Force Majeure
Provider shall not be liable for any delay or failure to perform arising from causes beyond its reasonable control, including: DC government system outages, DC ROD access restrictions or data unavailability, AWS infrastructure failures, internet service disruptions, acts of God, labor disputes, governmental action, or other events outside Provider's reasonable control. Provider will notify Client of any such event affecting Output delivery and will resume performance as soon as reasonably practicable. Where a force majeure event prevents Output delivery for more than 48 consecutive hours, the 30-day Pilot term shall be tolled for the duration of that interruption, consistent with Section 5.
Dispute Resolution
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or remotely by videoconference at the election of either Party, by a single arbitrator. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
Small Claims Exception. Either Party may bring an individual action in small claims court for disputes within that court's jurisdiction.
Class Action Waiver. All disputes shall be resolved on an individual basis. Neither Party shall bring or participate in any class, consolidated, or representative action.
Survival
The following sections shall survive expiration or termination of this Agreement: Section 7 (Intellectual Property), Section 8 (Confidentiality), Section 9 (Disclaimers), Section 11 (Limitation of Liability), Section 12 (Indemnification), Section 13 (Feedback & Data Use), Section 15 (Governing Law), Section 18 (Dispute Resolution), and this Section 19.
Entire Agreement; Electronic Acceptance
This Agreement constitutes the entire agreement between the Parties regarding the Pilot and supersedes all prior discussions or understandings. Acceptance by electronic means — including click-through acceptance at the time of Pilot checkout — shall be deemed legally binding and of equal effect as a written signature under applicable law, including the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law.
