Terms of Use
These terms govern your use of the ClearTitle AI™ website and service (the "Service"), provided by ClearTitle AI LLC, a Delaware limited liability company based in Washington, DC ("ClearTitle AI", "we", "us"). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.
1Agreement and eligibility
The Service is for businesses and professionals in real estate and title and is not for consumer use. You must be at least 18 and, if you use the Service for a firm, have authority to bind it. These terms, our Privacy Policy and any order or agreement you accept for the Service make up the agreement between you and us.
You accept these terms by ticking the box when you create your account, or when we ask you to accept an updated version, and by using the Service. We record your acceptance with the date, the version and your IP address. Ticking the box is an electronic signature and is as binding as a handwritten one under the federal E-SIGN Act and applicable state law. If you are in the pilot program, the Pilot User Agreement you accepted also applies, and where it conflicts with these terms during your pilot (including the bring-down period that follows the 30-day pilot), the Pilot User Agreement controls. When your pilot ends, these terms continue to govern your account and any briefings you buy.
2The Service, and what it is not
The Service retrieves recorded documents and public data for a property you identify, and uses software and AI models to produce a structured briefing: findings, chain of title, open encumbrances, a pre-commitment memo and related analysis, with links to the source records. Coverage today is Washington, DC (production) and Maryland (beta, by invitation). Features, coverage and availability can change, and beta features may be incomplete.
We are not a title insurer, title agent, abstractor, escrow or settlement agent or law firm, and we do not issue title commitments, policies, opinions or legal advice. A briefing is produced by software and AI models, not by a licensed examiner, attorney or abstractor, and is not an abstractor's certificate, examiner's opinion or title commitment under any law or underwriting standard. Your licensed examiner is the professional of record and stays responsible for every decision made from it. A briefing is preliminary and non-binding. It must be independently reviewed and verified by a licensed professional before any closing, underwriting, insurance or other reliance. A bring-down search close to closing is still required for commitment-grade reliance. A briefing reflects the records searched as of the date it was run and does not cover matters outside its stated scope, such as court judgments or federal liens that are not in the recorded chain.
3Accounts
- Give accurate information and keep it current. One account is for one person; do not share your login.
- You are responsible for all activity under your account, including briefings run by anyone using your credentials. If you think your credentials have been compromised, reset your password from the sign-in page. We do not credit, refund or re-run briefings run through your account, whoever ran them, unless the cause was our own breach of these terms.
- If a recorder requires its own login, you must hold that account lawfully, keep it active and paid where the recorder charges, follow the recorder's terms, and enter only your own credentials. We use them only as described in the Privacy Policy.
4Pilot, pricing and payment
- Prices. Prices are those shown when you purchase. Fees are charged through Stripe or, for prepaid packs, by invoice, are in US dollars and exclude any taxes we are required to collect.
- One pilot. The pilot program is offered once per person and once per firm. We may decline or cancel a second pilot, including one started under a different account at the same firm.
- Bring-downs. Each briefing includes one free bring-down search, redeemable within 60 days of delivery. A bring-down does not earn another. Searching the same property again is a new search at the then-current price.
- Failed runs. If a briefing fails to deliver because of an error on our side or a system fault, we will not charge for it: your briefing quota or credit is restored so you can run it again, or we will refund it. Once a briefing has been delivered, fees are non-refundable, and unused pilot briefings are not refundable.
- Billing details and questions. You can update your card and billing details from the Billing page, which opens Stripe. We never see or store your full card number. For a question about an invoice or charge, email billing@cleartitleai.com.
5Your inputs and our outputs
Your inputs. You keep ownership of what you submit. You give us a license to use it to run the Service for you and, as the Privacy Policy and any pilot agreement describe, to evaluate and improve accuracy. Give accurate parcel identifiers or addresses, and enter only those and your questions about them. Do not submit client files, borrower or loan information, Social Security numbers, financial account numbers or other non-public personal information, or privileged material.
Our outputs. Subject to these terms and payment, you may use briefings and reports for your own business: your examination work, your closing and underwriting files, and communications with your clients, underwriters and insurers. You may not resell or republish them, present them as a title commitment or opinion, use them to build or train a competing product or any AI model, or remove the disclaimers. Do not present a briefing as certified, final, insured or legally authoritative without independent examiner verification. If you give a briefing to someone else, only you may rely on it: they rely at their own risk and we owe them nothing. Source records linked from a briefing remain public records, and we claim no ownership of them.
Feedback and usage data. You grant us a perpetual, royalty-free, non-exclusive license to use your feedback, chat interactions and usage logs to operate, secure, evaluate and improve the Service, including validating accuracy and benchmarking performance. We do not sell this information, and we do not train AI models on your questions or account information.
6Acceptable use
You agree not to:
- break the law or use the Service to deceive anyone;
- submit information you have no right to submit, including the information listed in section 5;
- probe, scan or test our systems, bypass limits (including pilot limits or one-pilot-per-firm rules) or interfere with the Service or other users;
- scrape the Service, reverse engineer it, or extract its prompts, models or rules;
- use the Service to access a recorder or government site in a way its terms forbid;
- present ClearTitle AI or its outputs as acting for you in a fiduciary, agency or advisory capacity; or
- rely on the Service in place of a licensed examiner, attorney or underwriter.
7Public records and third parties
Briefings depend on public records and third-party systems (recorders, tax and assessment offices, payment and hosting providers) that we do not control. Those sources can be incomplete, delayed, misindexed or unavailable. We do not guarantee the accuracy or completeness of any source, and we are not responsible for third-party systems or terms. In particular we are not responsible for indexing errors or mis-recordings by a recorder or other agency, for instruments affecting a property that are not indexed to the parcel searched as of the date of the search, or for matters outside the searched record, such as court judgments, federal liens, UCC filings or environmental encumbrances that do not appear in it.
8Intellectual property and confidentiality
The Service, including its software, rules, prompts, workflows, scoring and design, and the ClearTitle AI™ name and logo, belong to ClearTitle AI LLC and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these terms. We reserve all other rights.
Confidentiality. Each of us will protect the other's non-public information with reasonable care and use it only for the Service. Our confidential information includes the Service's design, prompts, rules, scoring and workflows, and non-public pricing. Your inputs and chat questions are confidential: we use them only to produce your briefings and for security, auditing, evaluation and product improvement, we do not sell them, and we disclose them only to service providers bound by confidentiality, or as the law requires. Information that is public, that the receiving party already had or developed independently, or that it received lawfully from someone else is not confidential.
9Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. AI-GENERATED OUTPUT CAN CONTAIN ERRORS AND OMISSIONS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ASSUME ALL RISK ARISING FROM USING THE SERVICE OR ANY OUTPUT WITHOUT INDEPENDENT VERIFICATION BY A LICENSED EXAMINER.
10Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, RELIANCE OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, FAILED CLOSINGS, TITLE DEFECTS, UNDERWRITING DENIALS OR INSURANCE OUTCOMES; (B) OUR LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO A SINGLE BRIEFING IS LIMITED TO THE GREATER OF THE FEE YOU PAID FOR THAT BRIEFING OR $500; AND (C) OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS AND THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT AND NEGLIGENCE.
We have no liability for errors, omissions or conclusions in a briefing that is used, acted on or disclosed without independent verification by a licensed examiner, or for the public-record matters described in section 7. Each briefing is issued solely for the customer that ordered it: no one else may rely on it, and we owe no duty to anyone else. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.
11Indemnification
You will defend and indemnify us against third-party claims, and related losses and reasonable legal fees, arising from your misuse of the Service, your breach of these terms, information you submit, your reliance on an output without the independent verification these terms require, or any claim by a person to whom you gave a briefing or who relied on it.
12Suspension and termination
You can stop using the Service at any time. We may suspend or end your access immediately if you breach these terms, create risk or legal exposure, or misuse the Service, and we may discontinue the Service or parts of it. If we end your access for a reason other than your breach, we will refund the fees you paid for briefings you bought but have not received. Sections that by their nature should survive, including those on ownership, disclaimers, liability, indemnity and disputes, survive termination.
13Governing law and disputes
Delaware law governs these terms, without regard to conflict-of-law rules. Any dispute arising out of or relating to them or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, before a single arbitrator, in Wilmington, Delaware or remotely by videoconference at either party's election. Either party may bring an individual claim in small-claims court, and either party may seek an injunction in court to protect intellectual property or confidential information. Disputes will be resolved only on an individual basis: no class, consolidated or representative actions. This matches the dispute terms of the Pilot User Agreement.
14Changes to these terms
We may update these terms. For material changes we will give at least seven days' notice by email or in the app before they apply to you. Continuing to use the Service after the effective date means you accept the updated terms. The version number and effective date above show the current version.
15General
These terms, the Privacy Policy and any order or pilot agreement are the entire agreement between us on their subject. If a provision is unenforceable, the rest remains in effect. You may not assign these terms without our consent; we may assign them in a merger, acquisition or sale of assets. Failure to enforce a provision is not a waiver. Neither of us is liable for delays caused by events beyond our reasonable control, including outages of government systems, recorders or cloud providers. No agency, partnership or fiduciary relationship is created. Notices to you may be sent to your account email; notices to us go to the address below.
